Any corporate changes - e.g. change of name, registered office, executives, shareholders, registered capital, acting on behalf of the company are administratively demanding procedures requiring the holding of a general meeting and entry in the respective public registers.
Failure to fulfil all formal requirements may lead to the invalidity of a decision, refusal of entry in public registers and the need to repeat the whole procedure.
If a company ceases doing business, it is advisable to liquidate it. Otherwise, the company is obliged to fulfil legal duties, such as bookkeeping or submission of tax returns.
